Proposed Changes to the Capital Penguins Constitution (AGM 2015)

With a date set for our Club AGM - 25 March 2015, 7:00pm - the time has come for a review and update of our Constitution for clarity and for it to comply with recent changes to our reporting and other requirements.  We sincerely thank Erin Rose for her efforts in making this happen.

A copy of the proposed 'Capital Penguins Inline Hockey Club Inc - Constitution (2015)' is available for review on our website.  Please bring points for discussion to our AGM or email Erin with any feedback ahead of time.

The main changes are as follows:

  • Added new section 2.2 stating the club cannot operate for the monetary gain of members (R4 of constitution change requirements)
  • Add 4.1.1 sentence confirming all members must consent to being members
  • Update financial year end in 4.4.2
  • Make Vice President the “statutory officer” of the club as well  in 5.1
  • Definition of what a club officer is in 5.1.2
  • Describe duties of all officers in 5.1.3
  • Add additional prohibitions from being an officer in 5.1.5
  • 5.2.4 Clarify that officer can only be nominated at the AGM if nomination haven’t been received in advance
  • 6.2 update Vice President role to also be “statutory officer”
  • 6.2.2 describe role of “statutory officer” and limit them to being 18 yr and over
  • 6.4.1 remove dual signatures for bank account withdrawal
  • 6.4.2 remove need for dual signatures for payments
  • 6.4.6 add Tier 3 accrual reporting standard
  • 6.5.2 update end of financial year and remove need to audit
  • 6.6 new title for managing private interests of committee members
  • 7.1.2 confirm 2 general meetings may be held and provision of technology to enable wider access to the meeting
  • 7.4.2 remove need for an auditor and to audit from AGM agenda
  • 7.4.2 add to AGM agenda need to summarise nature and extent of any disclosures made by officers of financial interest in matters being considered by or affecting the club, recorded during the year.
  • 7.6.3 add majority of votes at meeting must agree to rule changes
  • 7.6.4 add 3 signatures to rule changes and submit them to registrar within 30 days
  • 7.5.6 add rules don’t come into effect until registered or at a later date if specified in the rules
  • 8.1.1 add specific matters officers will be indemnified over
  • 8.1.2 add matters officers will not be indemnified over
